1.Quotation:
All quotations are valid for thirty (30) days from the date of issue and may be subject to review thereafter. Pricing is determined based on prevailing material costs at the time the quotation is provided
2.Price Adjustment:
Quoted prices will be adjusted if the RISI Index or a paperboard supplier announces a price increase. The adjustment will take effect on the same date as the board price increase, unless otherwise agreed in writing.
Significant changes in the cost of raw materials used in production may also result in price adjustments. All quoted prices exclude provincial and federal taxes. Beneco is not responsible for any local duties or taxes related to the importation or delivery of goods, unless explicitly agreed upon in writing.
3.Customer Artworks:
Beneco will create and provide artwork based on the data included in the proof submitted by the customer. Customers are responsible for ensuring that proofs are properly prepared, including enabling the overprint preview and avoiding artwork details in the template layer. High-resolution artwork must be provided, as low-resolution files may result in fuzzy, distorted, or pixelated prints. The final artwork and products produced will accurately reflect the quality and details of the artwork supplied by the customer.
4.Final Artwork/CAD:
Prepress artwork and CAD will be submitted to the customer for approval. Customers should thoroughly check the artwork for all parameters such as text, contents, font, graphics, colors, dieline, knockouts, etc. In the case of CAD, customers should check for related parameters such as type of board, thickness, dimensions, design, etc. Beneco cannot be held responsible for errors related to such details if they are not verified by the customer. If the customer finds any modifications needed, they should send an email to the customer service representative or sales team with the details of the required modifications. Customers
are requested not to communicate such changes orally. Customers are advised not to send back the copy signed in such cases. The prepress team will work on the modifications and send a new artwork/CAD for review. Customers should sign and return the artwork/CAD only once it is finalized. Beneco will not be liable for any production made based on the customer-approved proofs.
5.Color Accuracy:
Printing will be done using the CMYK process unless otherwise requested by the customer. This process does not include precise color matching and may result in variations in shade, tone, and appearance compared to printed proofs or digital displays. The high-resolution artwork proof sent for approval is not an exact color reproduction of the final printed piece but is your final opportunity to review and confirm the layout, bleeds, crops, and text. Differences may arise due to variations in printing technology, equipment, proofing substrate, ink, coating, temperature, humidity, mixing ratios, and other conditions between the proofing and production processes. While Beneco will strive to match the proof to the final product, color variations are inherent to the printing process, and we cannot be held liable for such differences.
6.Color Responsibility Disclaimer
If the customer does not provide a signed approval of Beneco’s artwork proof and ink drawdown, Beneco shall not be held responsible for any color discrepancies in the final printed product. Approval of these materials is required to ensure color accuracy.
7.Product Specifications:
Before production, Beneco will provide hard copies of ink drawdowns, CAD samples, and artwork for customer approval. Production will commence based on customer approval of these materials. Incertain cases, production may begin after receiving customer confirmation based on soft copies; however, it remains the customer’s responsibility to verify the hard copies provided for approval. Beneco will not be liable for any claims arising from customer-approved ink drawdowns, CAD samples, or artwork under any circumstances. Products manufactured by Beneco will adhere to industry-standard tolerance
limits. For detailed information regarding our tolerance limits, please request a copy of the Quality Manual from the sales.
8.Ownership of Creative Works:
Creative works, including sketches, copy, prototypes, and all preparatory materials developed and provided by Beneco, shall remain the exclusive property of Beneco. Any use of these materials is strictly prohibited unless explicitly authorized in writing by Beneco.
9.Order Cancellation:
Orders are eligible for cancellation under the following circumstances. (1) If actual work has not yet started and raw materials have not been purchased. If this occurred, bank charges (approx. 3% of the total order value) will be charged to the customer. (2) If design work has started and proof has been sent to the customer, a cancellation fee (10% of the total order value) will be applied to cover the pre-press & design cost, in addition to the occurred bank charges (approx. 3% of the total order value). Orders are not eligible for cancellation if the production process has started and customer will be charged the full order value. This may apply to (but not limits to) the following conditions: • Artwork proof is confirmed by the customer • Paper board and/or other raw materials are ordered • Order has been sent for production. All cancellation requests
will be reviewed and assessed by our Customer Support team based on the Terms & Conditions.
10.Production Schedule:
Production schedules will be mutually established by the customer and Beneco. Beneco shall not be liable for any delays or penalties resulting from circumstances beyond its reasonable control, including but not limited to delays of raw material from suppliers, delays from carriers, equipment malfunctions, war, riots, civil disturbances, fires, labor disputes, labor shortage, strikes, accidents, energy outages, government actions, civil authority directives, acts of God, or other unforeseen events.
11.Over-runs and Under-runs:
In normal cases, overruns or underruns tolerance are 10% on quantities ordered. However, there are cases when this tolerance value can be changed when mutually agreed by both parties. Beneco will invoice customers based on the actual quantity delivered, in accordance with the agreed-upon tolerance. If customer needs an exact guaranteed quantity, please contact the sales representative to know about the
updated price.
12.Delivery:
Our standard turnaround time is 30 business days after the artwork is approved by the customer and confirmed by Beneco. Rush order options are available with additional charges. Customers must check upon the receiving of products. Any damages from delivery must be recorded by the customer (i.e., photos) and submitted to Beneco via email. The company accepts no liability for delivery when the customer picks up the products or uses a third-party pickup. Estimated delivery date is for guidance only and will not be legally binding Beneco liable for any liquidated damages for delay. Unless otherwise specified, the price for shipping is quoted for a single shipment, without storage. Charges related to delivery of material from customer to Beneco or from customer’s supplier to Beneco will be additional.
13.Storage:
Customers are required to collect their products within 90 days of production. If products remain uncollected beyond this timeframe, a storage charge of $35 per skid will be invoiced monthly. Additionally, Beneco will not be held liable for any damage to the products during this extended storage period.
14.Refunds:
All customer products are customized; refunds are not available except in cases of errors attributable to Beneco like incorrect color coding, misaligned artwork, in which an RMA/NCR number will be issued for defective product pick-up. Upon receipt of defective products, a credit memo will be issued to the customer for the received quantity, including shipping costs if paid by the customer. Beneco| SoOPAK will then either re-run or rework the order, as deemed appropriate, and the corrected product will be shipped to the customer with a new invoice. Products are warranted to perform on automated packaging lines for 90 days
from the pack date. It is the customer’s responsibility to inspect carton quality and report any non-conformities immediately before commencing their production run. Under no circumstances is Beneco liable for liquidated damages due to plant or any machinery downtime, product waste, machine damage, labor costs including inspection charges or any indirect or consequential losses. Claims due to misuse, improper storage, or handling outside recommended conditions are not accepted. Please contact our Sales team to request a copy of the Quality Manual for detailed information on folding carton shelf life, handling, and storage guidelines.
15.Alternations:
Alterations represent work performed in addition to the original specification. Such additional work shall be charged accordingly.
16.External Purchases:
Unless otherwise agreed upon in writing, any external purchases requested or approved by the customer will be billed accordingly.
17.Force Majeur:
Beneco shall have no liability to the buyer for any failure or delay in supply or delivery or for any damage or defect to the goods supplied or delivered caused by any event or circumstance beyond the company’s reasonable control.
18.Governing Law:
The interpretation and terms of these conditions will be governed by the laws of Canada.
